MESH4 LIMITED – TERMS AND CONDITIONS OF SALE
Effective Date: 01.01.2025
- INTERPRETATION
1.1 In these Conditions:
- “Buyer” means the person, firm, or company purchasing the Goods.
- “Company” means Mesh4 Limited (Company No. 3446917).
- “Goods” means any products, materials, or equipment supplied by the Company.
- “Contract” means any agreement between the Buyer and the Company.
- “Conditions” means these Terms and Conditions of Sale.
- “VAT” means value added tax.
- BASIS OF CONTRACT
- All sales are governed solely by these Conditions.
- No variation is valid unless agreed in writing by a Director.
- The Buyer confirms they have not relied on statements not contained in the Contract.
- ORDERS AND SPECIFICATIONS
- Orders must be confirmed in writing.
- The Buyer is responsible for order accuracy.
- The Company may make improvements or comply with law without affecting performance.
- No cancellations without written consent.
- PRICES
- Prices exclude VAT, delivery, and packaging unless otherwise agreed.
- Prices may vary due to external factors or Buyer instructions.
- Prices are ex-works unless stated.
- PAYMENT
- Invoices are due within 30 days of invoice date unless otherwise agreed.
- Late payments incur interest at 8% above the Bank of England base rate, plus recovery costs.
- Deliveries may be withheld for non-payment.
- DELIVERY
- Delivery dates are estimates; time is not of the essence.
- Delivery may occur in instalments.
- Buyer assumes risk upon delivery or notification that Goods are ready.
- RISK AND TITLE
- Risk passes on delivery.
- Title remains with the Company until full payment.
- Until paid, Buyer must store and label Goods appropriately and not resell or charge them.
- WARRANTY AND LIABILITY
- 12-month warranty on material defects.
- Excludes damage from misuse or unauthorised modifications.
- Claims must be made within 3 working days of delivery.
- Liability is limited to repair, replacement, or refund.
- No liability for indirect or consequential loss.
- Statutory rights are unaffected.
- FORCE MAJEURE
- No liability for delays due to events beyond reasonable control (e.g. war, strikes, natural disasters).
- INSOLVENCY AND TERMINATION
- The Company may terminate the Contract if the Buyer becomes insolvent or fails to pay.
- All unpaid amounts become immediately due upon termination.
- RETURNS
- Returns only accepted with prior written approval.
- Goods must be unused and in original packaging.
- Returns are at the Buyer’s expense unless otherwise agreed.
- RESALE RESPONSIBILITIES
Buyers reselling Goods are responsible for:
- Providing accurate product information
- Complying with UK laws (e.g. Consumer Protection Act 1987, UK CPR, GPSR 2005)
- Passing on safety and installation guidance
- Ensuring suitability for the end use
- PRODUCT-SPECIFIC TERMS – INSULATION SUPPORT NETTING
13.1 Intended Use
The Company’s insulation support netting is intended solely for use as a non-structural support for insulation in internal, non-habitable building areas (e.g. lofts, voids, cavity spaces). It is not designed, tested, or rated for use as:
- A fire barrier or fire-resistant product
- A finished or decorative surface
- A structural or load-bearing component
13.2 Liability Disclaimer
The Company shall not be liable for any loss, damage, injury, or expense arising from:
- Use of the insulation support netting outside its intended purpose
- Failure to follow the Company’s written installation or product guidance
- Any claims based on the product’s fire resistance, structural capability, or suitability as a surface finish
13.3 No Performance Claims
Unless explicitly stated in writing by the Company, no claims are made or implied regarding the product’s:
- Fire resistance or compliance with fire safety regulations
- Structural load-bearing capacity
- Thermal insulation performance
- Compliance with building regulations beyond its intended function as an insulation support
- GENERAL
- The Company may assign or subcontract obligations.
- If any clause is invalid, the rest remain enforceable.
- Contracts are governed by English law and subject to the courts of England and Wales.
